Terms of Service

AURA FARMING provides custom development services including but not limited to:

Client agrees to:

• Provide complete, accurate, and timely information necessary for project execution
• Designate a primary contact person with authority to make decisions
• Review and provide feedback on deliverables within agreed timeframes
• Obtain necessary licenses, permissions, and rights for any materials provided to AURA FARMING
• Make timely payments as outlined in the Service Agreement
• Provide access to necessary systems, APIs, and technical resources

Unless otherwise specified in the Service Agreement:

• Deposit: 50% deposit required to commence work
• Milestone Payments: 25% upon design approval, 25% upon project completion
• Payment Methods: Credit card, bank transfer, or other agreed methods
• Late Payments: 1.5% monthly interest on overdue amounts
• Third-party Costs: Client responsible for domain, hosting, and license fees

Hourly Rates: For work outside defined scope, our standard hourly rate is $125/hour, billed in 15-minute increments.

AURA FARMING Rights: We retain rights to:

• Pre-existing code, libraries, and frameworks used in your Project
• Our proprietary development tools and methodologies
• Portfolio rights to display completed work (unless otherwise agreed)
• Generic code snippets and reusable components

Third-party Materials: Client is responsible for ensuring they have rights to any third-party materials (images, fonts, content) used in their Project.

Both parties agree to protect confidential information, including:

• Business strategies and plans
• Technical specifications and architecture
• Proprietary code and algorithms
• Financial information
• Client data and user information

Confidentiality obligations survive termination of Services for a period of 3 years.

Service Warranty: We warrant that Services will be performed in a professional manner consistent with industry standards. Any defects in workmanship will be corrected at no additional cost for 30 days after delivery.

Limitation of Liability: To the maximum extent permitted by law, AURA FARMING's total liability shall not exceed the total fees paid by Client for the specific Project giving rise to the claim.

No Guarantees: We do not guarantee specific business outcomes, traffic increases, or revenue generation resulting from our Services.

Either party may terminate a Project:

• For Cause: With 30 days written notice for material breach
• Convenience: Client may terminate at any time with written notice
• Immediate: For insolvency, illegal activities, or violation of these Terms

Termination Fees: If Client terminates for convenience, Client pays for all work completed plus 25% of remaining contract value.

Negotiation: Parties agree to attempt to resolve disputes through good faith negotiation for at least 30 days.

Mediation: If negotiation fails, parties agree to mediation before pursuing litigation.

Governing Law: These Terms are governed by Missouri law. Any disputes shall be resolved in courts located in St. Louis County, Missouri.

Attorney's Fees: Prevailing party in any dispute is entitled to reasonable attorney's fees and costs.

• Entire Agreement: These Terms, together with any Service Agreement, constitute the entire agreement
• Amendments: Changes must be in writing and signed by both parties
• Severability: If any provision is invalid, the remainder remains in effect
• Force Majeure: Not liable for delays due to circumstances beyond reasonable control
• Assignment: Client may not assign rights without our written consent
• Independent Contractor: AURA FARMING is an independent contractor, not an employee
